Subscriber: For the purposes of this agreement Subscriber will be taken to mean the individual subscriber to Online Services, and/or the company subscriber and all employees thereof, and/or any user of the Materials and Online Services by virtue of a subscription to said Services.

Materials: Any and all Materials provided via Online Services, or any publication of SADER PUBLISHERS or its partners or affiliates, this includes but is not limited to, news, legislation, cases, studies, books, magazines, and/or newsletters.

Specific Materials: Any Specific Material requested which has Additional Terms governing its access and usage.

Online Services: SADER Platform, access and usage of the SADER Platform and all and any other services encompassed therewith

Subject to any additional terms which may be applicable to Specific Materials, the Subscriber is granted a non-exclusive, non-transferrable, limited license, for the purpose of accessing and using the Online Services and Materials provided by SADER PUBLISHERS. Materials made available by virtue of this limited license, may be used only for the purposes of research or study, and/or providing professional services to clients, and/or providing academic services to students. This license is further subject to the following limitations:

Except where expressly provided, the Subscriber is prohibited from downloading, storing, reproducing, transferring, displaying, printing, copying, distributing, or otherwise using Materials retrieved from the Online Services. The Subscriber may not print or download any Materials without using the printing or downloading commands of the Online Services or those provided by web browser software. All access to and use of the Online Services via programmatic, mechanical, robotic, scripted or any other automated means not provided as part of the Online Services is strictly prohibited. Use of the Online Services is not permitted except by means of manual conduction, discrete, individual search and retrieval activities.

All rights, titles, and interest, including all copyrights and other intellectual property rights, in the Online Services and Materials provided therein, in both print, electronic, and any other readable form, are the property of SADER PUBLISHERS, its partners or suppliers. The Subscriber will acquire no ownership of copyrights, intellectual property rights, or proprietary interest, in the Online Services, the Materials provided therein, or any copies thereof.

Except where specifically provided, the Subscriber is not permitted to use the Online Services, or Materials retrieved there from, in any manner which infringes upon the copyrights or proprietary interests therein. It is prohibited to remove or obscure copyright notices, or any other notices, contained on or in the Materials retrieved by virtue of the Online Services.

Any other applicable provisions to the use of Materials will be provided in, the price schedule delivered to the Subscriber, the Additional Terms for Specific Material, online descriptions of files, online notices following file selection, and/or individual documents retrieved from the Online Services; all of which will be incorporated by reference into these general Terms and Conditions.

Only the Subscriber, the employees and support personnel thereof, as specifically defined and agreed by the Subscriber and SADER PUBLISHERS, shall be authorized to access and use the Online Services and Materials.

Except for incidental or occasional use, or short-term travel, the Subscriber is not permitted to use an identification number to access Online Services and Materials from outside the country for which the subscription was issued.

SADER PUBLISHERS reserves the right to restrict identification numbers from accessing certain Materials otherwise available in the Online Services.

SADER PUBLISHERS reserves the right to add or withdraw features and/or Materials from the Online Services without notice.

The Subscriber must ensure that each individual with access to the Online Services and Materials is, (i) Authorized to use the Online Services and Materials therein; and is (ii) using said Online Services and Materials only in accordance with these general Terms and Conditions and any Additional Terms for Specific Materials.

SADER PUBLISHERS represents and warrants its right and authority to make the Online Services and Materials available therein, pursuant to these general Terms and Conditions.

Online Services and Materials available on this site are provided “as is” and without warranty of any kind, express or implied. SADER PUBLISHERS disclaims all express and implied warranties with regard to the information and materials contained on this site, including and without limitation to, that the Materials or information are or will be completely free from errors, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Neither SADER PUBLISHERS nor any other SADER PUBLISHERS entity accepts any responsibility for any loss which may arise from reliance on information published on this site.

Limitation of Liability

Under no circumstances will SADER PUBLISHERS, its partners or affiliates, or contributors to this website, be liable for any loss or damage, whether direct, indirect, special, punitive, incidental, consequential or exemplary, or otherwise, whether based on breach of contract, tort, including negligence, or product liability or otherwise, resulting from the access or use of the Online Services and Materials provided therein.

The Subscriber accepts that it is not permitted to use the Online Services and Materials provided therein for any unlawful purpose, or for any purpose prohibited by these Terms and Conditions. Anyone who uses or accesses this website agrees to indemnify, hold harmless and defend SADER PUBLISHERS, its partners, affiliates and contributors from any liability, loss, claim and/or expense, including legal fees, related to the user’s violation of these Terms and Conditions, and/or any unauthorized posting or use of the Online Services or Materials available therein.

Any passwords or identification numbers issued to an authorized Subscriber is personal and confidential. Where SADER PUBLISHERS has reason to believe that any password or identification number is being used by an unauthorized user or a different authorized user to whom it was issued, SADER PUBLISHERS reserves the right to cancel said password or identification number.

Validity of Agreement

This agreement is valid for the minimum period specified in the Subscription Period. In the event that no Notice of Termination is received by SADER PUBLISHERS prior to ninety (90) days before expiry of the Subscription Period, this Agreement shall continue for a further period equal to the initial term of the Subscription Period. In this case, the total annual price payable by the Subscriber will be the annual Subscription Period fee in the final year of the agreement price plus ___% per annum for the duration of the additional Subscription Period, and so on for any subsequent Subscription Periods.

Use of Personal Information

Any personal data and/or information submitted on this website will be used solely for the following purposes: (a) providing access to and use of the Online Services to authorized Subscribers; (b) providing customer support, billing and other similar activities related to Online Services; and, (c) keeping authorized Subscribers updated about products, services, offers and upcoming events, and to improve services. This may be composed of transferring your data to our associated offices operating in other countries, and each office will comply with SADER PUBLISHERS’s internal policies on personal data and information. Any service providers employed by SADER PUBLISHERS will have access to your information solely to the extent necessary to enable them to perform the service on our behalf and will be contractually prohibited from using the information for any other purpose.

Modifications and Changes

This agreement, including any Additional Terms, is subject to change as described below or by written agreement. Charges and payment terms are subject to change in accordance with the subscriber’s applicable Subscription Price Schedule; all other provisions may be changed by SADER PUBLISHERS immediately upon notice. Subscription for access to the Online Services may be terminated immediately by the subscriber upon notice to SADER PUBLISHERS if any change is deemed unacceptable. Continued use, however, of the Online Services, following any change, will constitute acceptance of said change.

The Subscriber can terminate the subscription for access to the Online Services, by virtue of a written notice of at least ninety (90) day, to expire the day before the anniversary of the commencement date, or minimum period (whichever is longer) as specified in the Subscription Order Form. SADER PUBLISHERS reserves the right to terminate this agreement by giving a minimum of sixty (60) days notice. In this case, SADER PUBLISHERS only obligation will be the pro rata refund of any charges paid in advance. SADER PUBLISHERS retain the right to suspend or discontinue the provision of Online Services without notice and pursue any other legal remedy available to it if the subscriber fails to company with any of its obligations as provided for in these Terms and Conditions and any other applicable Additional Terms.

Neither party will disclose the details of this Agreement, or any negotiations undertaken in relation to this Agreement, to any third parties, without the prior express written consent of the other party.

Notices, except where otherwise provided, will be in writing or displayed electronically in the Online Services by SADER PUBLISHERS. Notices to a subscriber shall be deemed as legitimately delivered as of the date posted, if written, and as of the date of first availability, if displayed in the Online Services, or on the date received if delivered by any other method. All notices delivered to SADER PUBLISHERS must be delivered to the relevant account representative at SADER PUBLISHERS.

SADER PUBLISHERS failure to insist upon the strict performance or enforcement of any provision of these Terms and Conditions shall not constitute a waiver of any provision or right. No waiver of any of the provisions of these Terms and Conditions will be effective unless it is expressly agreed, stated and signed by both SADER PUBLISHERS and the concerned subscriber.

Any provision of these Terms and Conditions found void or unenforceable will not tarnish the enforceability of the remaining provisions. Therefore, any such provision deemed void or unenforceable shall be severed, and all remaining provisions of these Terms and Conditions will remain in force.

It is not permitted for a subscriber to assign or transfer any rights arising from this or any agreement with SADER PUBLISHERS, or to delegate duties under these Terms and Conditions, or any other Additional Terms, without SADER PUBLISHERS’ prior express written consent.

These Terms and Conditions, and any use of the website, Online Services, and/or Materials provided therein, are governed by the laws of Lebanon, without regard to the legal conflict of its provisions.
